Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and Sparko Technologies Pte. Ltd., a private company limited by shares incorporated in Singapore (UEN 202642599C), with its registered office at 2 Fowlie Road, Sycamore Tree, Singapore 428505 ("Sparko," "we," "us," or "our").

By accessing or using Sparko's services ("Services"), you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Sparko provides a cloud-based platform for the teams that run a company, delivered as separately purchasable products on one platform:

• Sparko People, a human resources management platform (available now), which includes the functionality listed below
• Sparko Legal (beta): review of contracts against Customer's own playbook and answers to policy questions grounded in Customer's own handbook, with every proposed change subject to Customer approval
• Sparko Books: accounting functionality, available when launched and governed by these Terms from that date

Sparko People includes:

• Core HR and employee data management
• Recruiting and applicant tracking
• Employee onboarding
• Performance management
• Compensation planning and payroll runs
• Time and leave management
• Employee engagement
• Career development
• People analytics

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration

To use the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Upload malicious code or attempt to breach security
• Interfere with the Services or other users
• Use the Services for unauthorized purposes
• Resell or redistribute the Services without permission
• Attempt to reverse engineer the Services

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You retain ownership of all data you input into the Services ("Customer Data"). You grant us a limited license to use Customer Data solely to provide the Services.

We implement appropriate security measures to protect Customer Data. For details, see our Trust Center.

If you configure integrations, API access, or outbound webhooks, you are responsible for the endpoints and third-party services you connect and for the data you direct Sparko to send to them.

6. AI Features

Our Services include AI-powered features. By using these features, you acknowledge that:

• AI outputs are suggestions and should be reviewed by humans
• We do not guarantee the accuracy of AI-generated content
• Your data is not used to train AI models for other customers
• You remain responsible for decisions made using AI suggestions

7. Fees and Payment

Sparko is a paid subscription service: there is no free tier. Every new workspace begins with a 14-day free trial of the Business tier, with no credit card required. By subscribing, you agree to:

• Pay all applicable fees as described in your plan
• Per-employee billing, subject to the monthly minimum shown for each plan on the Pricing page
• Provide valid payment information
• Accept automatic renewal unless cancelled
• Pay any applicable taxes

Payments are processed by our payment provider acting as Merchant of Record. That provider is the seller of record for the transaction, issues your invoice or receipt, and is responsible for charging and remitting any sales tax, VAT, or GST that applies where you are located. Your subscription to the Services themselves remains governed by these Terms with Sparko Technologies Pte. Ltd. Fees are stated in US dollars unless your order states otherwise.

We may change pricing with 30 days notice. You may cancel at any time; cancellation takes effect at the end of the current billing period.

8. Intellectual Property

The Services, including all software, designs, and content, are owned by Sparko and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Sparko from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate this agreement with 30 days written notice. We may suspend or terminate your access immediately if you violate these Terms.

Upon termination, you may request export of your Customer Data for 30 days. After that period, we will delete your data in accordance with our data retention policies.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance.

13. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of the Republic of Singapore, without regard to its conflict of law rules.

The parties will first try in good faith to resolve any dispute through negotiation. If that does not succeed within 30 days, the parties submit to the exclusive jurisdiction of the courts of Singapore.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. Nothing in this section removes any mandatory right you have under the consumer or data protection laws of the country you live in.
